AI Assistant Terms of Use

These terms (these “Terms”) set forth the terms and conditions for the use of the AI assistant (collectively, the “Feature”) provided by NULAB INC. (the “Company”) as part of its services (the “Services”). Any matters not stipulated in these Terms will be governed by the Nulab Terms of Use. In the event of any conflict or inconsistency between these Terms and the Nulab Terms of Use, these Terms will prevail unless otherwise specified.

Article 1 (Application of These Terms)

The Feature is provided using Amazon Bedrock, a service offered by Amazon Web Services. Users must comply with the following terms and policies (collectively, the “Amazon Terms”) when using the Feature:

Article 2 (Handling of Input Data)

  1. Except as otherwise provided in these Terms, the Company does not acquire any intellectual property rights to any text, files, or other information that any user inputs, uploads, shares, or stores in order to use the Feature (the “Input Data”).
  2. Users must represent and warrant that the Input Data complies with applicable laws and these Terms and does not infringe upon the rights of any third party.
  3. In using the Feature, users agree that the Company may use the Input Data solely for the following purposes:
    1. To provide the Services to users. This includes troubleshooting to prevent, detect, and resolve issues affecting the operation of the Services, as well as enhancing features that detect and protect users from emerging and proliferating threats (such as malware and spam).
    2. To conduct research and analysis using statistical data regarding the use of the Feature. For this purpose, the Company will not view the Input Data, nor will the AI use the Input Data for machine learning.
    3. To respond to requests for disclosure based on laws and regulations. However, the Company will not disclose Input Data to law enforcement agencies unless required by law. If any law enforcement agency requests the Company to disclose Input Data, the Company will ask the agency to make the request directly to the relevant user. As part of this process, the Company may provide the user’s basic contact information to the agency. If the Company is compelled to disclose Input Data, the Company will make commercially reasonable efforts to notify the user in advance of such disclosure.

Article 3 (Handling of Output Data)

  1. Except for rights previously held by the Company, intellectual property rights to any information output, generated, or otherwise produced by the Feature based on Input Data (the “Output Data”) belong to a relevant user.
  2. Users agree that the Company may conduct research and analysis on statistical data related to the output results of the Feature. The Company will not view the Output Data for such purposes.

Article 4 (Handling of Training Data)

The Company will not use Input Data or Output Data for machine learning by AI in the course of providing the Services. In addition, under Amazon Web Services’ “Data protection” policy, Input Data and Output Data are excluded from the training data used by Amazon Bedrock, which is used by the Company.

Article 5 (Disclaimer and Damages)

  1. Due to its nature, the Feature may contain malfunctions, output inaccuracies, or other defects. The Company makes no warranties of any kind regarding the Feature, including accuracy, completeness, non-infringement, or fitness for a particular purpose. The Company will not be liable for any damage incurred by users or organizations such users belong to resulting from the use of the Feature or Output Data.
  2. Users acknowledge in advance that the Feature may generate incorrect information, harmful instructions, or biased content. The Company does not warrant that the content generated by the Feature does not infringe the rights of the Company or any third party. Furthermore, data generated by the Feature may be inaccurate or inappropriate. However, such data does not reflect the Company’s views.
  3. In addition to the preceding two paragraphs, any damage incurred by either the Company or users will be governed by these Terms.

Article 6 (Prohibited Conduct)

The Company prohibits users from engaging in any of the following acts when using the Feature:

(1) Acts that violate these Terms or any other terms applicable to the use of the Feature

(2) Use of the Feature in violation of laws or for unlawful purposes

(3) Acts that infringe the copyrights, patent rights, or other intellectual property rights of the Company or any third party

(4) Entering or causing the output of information that infringes the privacy of the Company or any third party

(5) Use of the Feature for the purpose of developing services that compete with the Feature

(6) Reverse engineering, decompiling, disassembling, hacking, disabling, interfering with, dismantling, modifying, copying, converting, destroying, mirroring, or engaging in any similar conduct with respect to all or part of the Feature

(7) Prompt injection or any similar act

(8) Entering or causing the output of content that is obscene, grotesque, or violent, or encourages crimes

(9) Entering or causing the output of information that defames, damages the reputation of, or causes discomfort to others

(10) Acts that violate the Amazon Terms

(11) Entering or causing the output of information that criticizes or disparages others based on race, ethnicity, nationality, religion, sex, sexual orientation, or disability

(12) Entering or causing the output of information that includes personal data of minors under the age of 18 or personal data of others without authorization to disclose such data

(13) Entering or causing the output of information that contains sensitive personal information as defined by applicable laws and regulations

(14) Entering or causing the output of information that contains viruses, bots, worms, or other similarly harmful materials

(15) Any other act that the Company deems inappropriate

Article 7 (Privacy and Personal Information)

  1. The handling of users’ privacy and personal information will be governed by the Privacy Policy separately established by the Company.
  2. Notwithstanding the immediately preceding paragraph, in connection with the provision of the Service, the Company may provide personal data handled by the Company to third parties located in foreign countries as listed below:
    • Amazon Web Services, Inc.
      1. Names of potential foreign countries:
        The United States of America, the Republic of Korea, the Commonwealth of Australia, the Republic of Singapore, the Republic of India
      2. Information on personal information protection systems in those countries, obtained through appropriate and reasonable means:

      3. Information on the measures taken by such third party for the protection of personal information:
        All measures corresponding to the eight principles of the OECD Privacy Guidelines are implemented.
