(Preamble)
These Terms set forth the terms and conditions for use of the assistant features equipped with AI, including chat, summarization, proposals, and other functions (collectively, the “AI Assistant Features”), among the services provided by the Company (the “Service”).
These Terms constitute a part of the “Nulab Terms of Use” (the “Basic Terms”) as an “Individual Contract” as set forth in Article 1 of the Basic Terms.
For matters not provided for in these Terms, the Basic Terms (including the “Supplementary Terms Regarding Security”) shall apply. Provided that, in the event of any inconsistency or conflict between these Terms and the Basic Terms, unless otherwise provided, the provisions of these Terms shall prevail and have priority effect.
Article 1 (Definitions)
The terms used in these Terms shall have the meanings set forth in the Basic Terms, in addition to the following.
- “Input Data”
“Input Data” means, among all information viewable by the User on the Service, any text, files, images, and other information that the User inputs, uploads, transmits, or causes to be referenced to the AI Assistant Features for the purpose of using the AI Assistant Features. Provided that, even if the User stores information on the Service, such information shall not be included in the Input Data under these Terms unless it has been input into or caused to be referenced to the AI Assistant Features. - “Output Data”
“Output Data” means any text, files, images, and other information generated, output, displayed, or suggested by the AI Assistant Features as a result of the User using the AI Assistant Features based on the Input Data.
Article 2 (License to Use and Administration by Administrators)
- (License to Use)
The AI Assistant Features may be used only within organizations that have subscribed to the specific service plans designated by the Company (including paid plans, etc., as set forth in Article 3 of the Basic Terms). - (Usage Allowance and Additional Purchases)
Depending on the subscribed service plan, a prescribed usage allowance (including tokens, credits, number of times, and the like; hereinafter the “Usage Allowance”) may be set for use of the AI Assistant Features. If a User’s usage exceeds the Usage Allowance, the Company may restrict the use of the AI Assistant Features by such User or such organization (including rate limiting, temporary suspension, and the like). Provided that, the subscriber may purchase additional Usage Allowance by the method separately prescribed by the Company. The Company may, at its discretion, change the standards for setting the Usage Allowance, the upper limit, and the fees for additional purchases, etc., in response to changes in economic conditions, fluctuations in fees for third-party services, changes to the specifications of the AI Assistant Features, and the like. - (Settings by Administrators)
The AI Assistant Features are, in principle, provided in an enabled state (default settings) under the applicable service plan. The contract administrator as set forth in Article 2 of the Basic Terms (hereinafter, the “Administrator”) may, at any time, disable the AI Assistant Features through the settings screen, etc., prescribed by the Company. If the Administrator disables the AI Assistant Features, Users belonging to the relevant organization shall not be able to use the AI Assistant Features. - (Responsibilities of Administrators)
The Administrator shall be responsible for ensuring that Users belonging to the Administrator’s organization (including end users as set forth in Article 2 of the Basic Terms) comply with these Terms. Any violation of these Terms by a User shall be deemed to be a violation by the subscriber itself. - (Restriction and Suspension of Use)
The Company may temporarily restrict or suspend the provision of the AI Assistant Features to a User if any of the following applies:
(1) where the Company determines it necessary to maintain stable provision of the AI Assistant Features (including system maintenance, urgent security responses, and the like);
(2) where the provider of a third-party service (as set forth in Article 6) requests that the User’s use be suspended or restricted.
Article 3 (Ownership of Rights)
- (Rights in Input Data)
Intellectual property rights in and to the Input Data shall be reserved to the subscriber (meaning the subscriber as set forth in the Basic Terms) or a third party that has granted a license to the subscriber, and shall not be transferred to the Company through the use of the AI Assistant Features. - (Rights in Output Data)
Copyright (including rights under Articles 27 and 28 of the Copyright Act of Japan) and other intellectual property rights in and to the Output Data shall belong to the subscriber at the time the Output Data is generated, except for rights that the Company or a third party has already held. The Company shall not exercise moral rights in the Output Data against the subscriber or the User. The subscriber may freely use the Output Data, whether for commercial or non-commercial purposes (including reproduction, modification, provision to third parties, and the like). Provided that, the subscriber and the User acknowledge in advance that, due to the nature of the AI Assistant Features, identical or similar Output Data may be generated for other subscribers, and shall not assert any exclusive rights with respect to such identical or similar Output Data.
Article 4 (Handling of Data and Confidentiality)
- (Treatment as Confidential Information)
Notwithstanding the provisions of Article 18 (Confidentiality) of the Basic Terms, the Company shall treat the Input Data and the Output Data (collectively, the “Data”) as the User’s confidential information as a matter of course, without requiring the User to separately mark such information as confidential, etc. Except as provided in this Article, the Company shall not disclose, provide, or leak the Data to any third party. - (Limitation of Purposes)
In using the AI Assistant Features, the User agrees that the Company may handle the Data (including storage on servers, reproduction, analysis, and the like) only within the scope of the purposes set forth in each of the following items:
(1) provision of the AI Assistant Features to the relevant User, and maintenance and system improvements of the AI Assistant Features (including bug fixes, performance improvements, and the like);
(2) detection and defense against security threats that affect the operation of the AI Assistant Features (including malware, spam, malicious acts, and the like);
(3) responding to requests based on laws and regulations. - (Prohibition of AI Training)
Notwithstanding Article 11 (Data Management and Information Security) of the Basic Terms and any other provisions, the Company shall not use the Data for machine learning or re-training of the AI model underlying the AI Assistant Features (including models provided by third parties) in any manner whatsoever. The Company shall also apply settings for third-party services used to provide the AI Assistant Features (as set forth in Article 6) so that the Data will not be used for training. - (Restriction on the Company’s Access)
In principle, the Company shall not access the Data. Provided that, only if any of the following applies, and only to the extent necessary (and to the minimum extent necessary) for cause investigation, resolution, and quality maintenance, the Company may, under strict access control based on its internal rules, allow only duly authorized personnel of the Company to access the Data and conduct technical verification and confirmation, and the User agrees to this in advance:
(1) where system failures, outages, or security threats (including abnormal requests, detection of attacks, and the like) occur in the AI Assistant Features, or where the Company reasonably determines such access to be indispensable for stable provision and quality maintenance of the AI Assistant Features (including operational verification associated with changes to AI models or system updates, and measures to prevent degradation of service quality);
(2) where the User requests an investigation, restoration, or the like of the Data and the User’s consent is obtained.
Article 5 (Handling of Usage Data)
- (Collection of Usage Data)
The Company may collect and store information regarding the User’s usage of the AI Assistant Features (including, but not limited to, the number of API calls, date and time of use, error logs, user ID, IP address, types of functions used, and the like, but excluding the Input Data and the Output Data themselves; hereinafter, “Usage Data”). - (Purposes of Use of Usage Data)
The Company shall handle the Usage Data within the scope of the purposes of providing, maintaining, managing, and securing the AI Assistant Features, and providing support to Users. - (Handling of Personal Information)
If the Usage Data includes personal information, the Company shall handle such personal information appropriately in accordance with the Company’s “Privacy Policy” and the Basic Terms. - (Use of Statistical Data)
Notwithstanding Article 2 (Management of User Data) of the “Supplementary Terms Regarding Security” and any other provisions, the Company may process the Usage Data so that specific individuals cannot be identified and create statistical data, etc. (hereinafter, “Statistical Data”). Any and all rights, including intellectual property rights, in and to the Statistical Data shall belong to the Company, and the Company may use the Statistical Data without restriction for improving the functions of the AI Assistant Features, analyzing usage trends, and planning, developing, and providing new services, functions, or products by the Company.
Article 6 (Use of External Services)
- (Use of Third-Party Services)
In providing the AI Assistant Features, the Company will, at its responsibility, use services provided by third parties (including, but not limited to, Anthropic API, Amazon Bedrock, OpenAI API, and the like; hereinafter, “Third-Party Services”). The User agrees that, to the extent necessary to provide the AI Assistant Features, the Company may transmit the Data (including personal information) to the providers of Third-Party Services and have such providers process the Data. - (Publication and Compliance Regarding Services Used)
The names of the principal Third-Party Services used by the Company to provide the AI Assistant Features and the terms of use, etc. applicable to such services will be published on the Company’s website, help center, or the like. The User acknowledges that, in using the AI Assistant Features, the terms of use and various policies (including Acceptable Use Policies, and the like) of such Third-Party Services may apply, and the User shall comply with them. - (Special Provision Regarding Security Terms)
Transmission and processing of the Data to/by Third-Party Services under this Article shall be treated as an exception to the transfer restrictions to third parties under Article 2 (Management of User Data) of the “Supplementary Terms Regarding Security.”
Article 7 (Handling of Personal Information)
- (Processing of Personal Information)
If the User includes personal information in the Input Data, the User agrees in advance that the Company may handle such personal information to the extent necessary for the Company’s provision of the AI Assistant Features, and may have the providers of Third-Party Services used by the Company (including entities located in foreign countries) process such personal information. - (Compliance with Laws and Supervision)
In carrying out the processing set forth in the preceding paragraph, the Company shall conduct necessary and appropriate supervision over such Third-Party Service providers in accordance with the Act on the Protection of Personal Information (APPI) and the Company’s Privacy Policy.
Article 8 (Prohibited Acts)
In using the AI Assistant Features, the User shall not engage in any of the following acts, in addition to those set forth in Article 7 (Prohibited Acts) of the Basic Terms:
(1) prompt injection attacks (entering instructions to circumvent AI restrictions and force unintended outputs, or instructions to extract confidential information such as the Company’s system prompts) or any other acts that induce malfunction of the AI Assistant Features;
(2) acts of using the AI Assistant Features to generate content that violates laws and regulations, infringes the rights of others, or is contrary to public order and morals (including obscene, violent, discriminatory expressions, and the like);
(3) acts of using the AI Assistant Features or the Output Data to conduct machine learning or training of AI models (including machine learning models), or to develop or improve products or services similar to or competitive with the AI Assistant Features;
(4) acts of accessing the AI Assistant Features by automated means (scripts, bots, and the like), or imposing an excessive load on the servers of the AI Assistant Features.
Article 9 (Non-Warranty and Disclaimer)
- (No Warranty as to Accuracy, etc.)
Due to the nature of AI technology that probabilistically generates information, the AI Assistant Features may output inaccurate information, inappropriate content, ethically problematic content (including discriminatory expressions and biases), or unintended content (so-called hallucinations). In addition, the Output Data does not constitute a substitute for advice in medical, legal, financial, or other fields requiring specialized knowledge. The Company makes no warranties whatsoever regarding the accuracy, completeness, usefulness, or fitness for a particular purpose of the Output Data. - (User’s Responsibility)
The User shall use the Output Data only after confirming and verifying its content at the User’s own responsibility. The Company shall not be liable for any damages incurred by the User or any third party arising from the User’s use of the Output Data. - (No Warranty of Non-Infringement)
The Company does not warrant that the Output Data will not infringe any intellectual property rights or other rights of any third party. In the event that any dispute arises with a third party due to the User’s use of the Output Data, the User shall resolve such dispute at the User’s own responsibility and expense. - (Changes, Suspension, and Termination of the Service)
The Company may, at its discretion, change, add, discontinue, or temporarily suspend the provision of all or part of the AI Assistant Features. In particular, the User agrees in advance that the AI Assistant Features may become unavailable due to failures, specification changes, or termination of Third-Party Services, or due to cyberattacks, unauthorized access, natural disasters, or other force majeure, and the like. The Company shall not be liable for any damages incurred by the User arising from any change, addition, discontinuation, suspension, or termination of the AI Assistant Features (regardless of the reason).
